Terms of Service

Overview
These Terms of Service (the “Terms”) govern your access to and use of fabworks.com, your Fabworks account, our quoting and ordering tools, and the custom manufactured products and related services we provide (collectively, the “Service”). The Service is operated by Sessa Manufacturing and Welding, Inc., doing business as Fabworks (“Fabworks,” “we,” “us,” or “our”).
By creating an account, requesting a quote, placing an order, or otherwise using the Service, you agree to these Terms. If you use the Service for a company or other organization, you represent that you have authority to bind that organization, and “you” includes both you and that organization. You must be at least 18 years old and legally able to enter into a binding agreement to use the Service or place an order.
Our Privacy Policy, Refund Policy, Shipping Information, and Payment Terms are incorporated into these Terms. A separate written agreement signed by Fabworks controls if it expressly conflicts with these Terms.
Accounts and Access
You must provide accurate, complete, and current account and order information. You are responsible for keeping your login credentials secure and for activity performed through your account, including activity by employees, contractors, integrations, or automated tools that you authorize. Contact us promptly if you believe your account or credentials have been compromised.
We may ask for information reasonably necessary to verify your identity, authority, payment method, tax status, or compliance with these Terms. We may refuse, suspend, or terminate access when information is incomplete or inaccurate, when an account presents a security, fraud, credit, or legal risk, or when these Terms are violated.
Quotes and Order Acceptance
Quotes are based on the files, quantities, materials, finishes, services, lead times, shipping information, and other selections submitted through the Service. You are responsible for reviewing the complete quote and order configuration before ordering.
Submitting an order is an offer to purchase the products and services shown in the order. An automated receipt, payment authorization, or order number confirms that we received your submission, but does not by itself mean that we accepted it. We may accept or reject an order in our discretion. An order is accepted when we confirm it for production or begin manufacturing, whichever occurs first.
We may correct an obvious pricing, calculation, availability, or configuration error before accepting an order. Technical review may also identify a manufacturing issue that was not detected during automated quoting. If resolving an issue would materially change the price, specifications, or expected schedule, we will request your approval before proceeding or allow the affected item or order to be cancelled and refunded.
After an order enters production, it cannot be changed or cancelled without our written approval. Approved changes or cancellations may require payment for completed work, committed materials, outside services, and other nonrecoverable costs. Changes to files, quantities, materials, finishes, services, or delivery requirements may also change the price and schedule.
Prices, Payment, and Taxes
Prices are shown in U.S. dollars and may change before an order is submitted. Unless expressly stated otherwise, quoted prices do not include applicable taxes, duties, special handling, or charges caused by inaccurate or incomplete customer information.
You represent that you are authorized to use the payment method or purchase order submitted with an order. You authorize us and our payment providers to charge all amounts due under the order. Approved purchase-order and credit accounts are also subject to our Payment Terms and any terms shown on the applicable invoice. Terms contained in a customer purchase order or other customer form do not modify these Terms unless Fabworks expressly accepts them in a signed writing.
You are responsible for sales, use, excise, customs, and similar taxes or duties associated with your order, except taxes imposed on Fabworks’ income. A claimed exemption applies only after we receive and approve valid supporting documentation. We may place work on hold, withhold shipment, or suspend account access for overdue or disputed amounts.
Shipping, Delivery, and Pickup
We will ship to the address provided with the order or make the order available for pickup, as applicable. You are responsible for providing a complete and accurate delivery address, contact information, access instructions, and any information needed for freight delivery. Additional carrier, storage, redelivery, address-correction, customs, or return charges caused by inaccurate or incomplete information are your responsibility.
Production and delivery dates are estimates, not guarantees. Carrier delays, material availability, outside processing, severe weather, and other circumstances may affect an estimated date. We are not responsible for delays caused by carriers or other circumstances outside our reasonable control.
Unless different shipping terms are stated in the order, title and risk of loss pass to you when the products are delivered to the carrier. Shipping damage is handled under our Refund Policy. You must promptly document visible package damage and retain the packaging while a claim is reviewed.
Inspection, Nonconforming Products, and Remedies
Inspect products promptly after delivery. Unless applicable law requires a longer period, you must notify us in writing of visible damage, defects, shortages, or nonconformity within 30 calendar days after delivery. A defect that could not reasonably have been discovered during that period must be reported promptly after discovery and no later than 90 calendar days after delivery.
Include the order number, a description of the issue, and reasonably requested photographs, measurements, or other documentation. Do not alter, install, or dispose of disputed products until we have had a reasonable opportunity to review the claim, unless alteration or disposal is necessary to prevent injury or further damage.
If we determine that a product is damaged, defective, or does not conform to the accepted order, we may, at our option, repair or replace it, issue a credit, or provide a partial or full refund. These remedies are subject to our Refund Policy and are your exclusive contractual remedies for a nonconforming product, except for rights and remedies that cannot be limited by law.
Custom manufacturing naturally involves reasonable process and material variation. Unless a specific requirement is included in the accepted order or separately agreed in writing, normal variations in mill finish, grain, color, texture, coating appearance, tooling or die marks, edge condition, flatness, and dimensions within our published tolerances are not defects. Supplier specifications and industry-standard tolerances apply where Fabworks has not published or agreed to a more specific requirement.
Customer Files and Confidentiality
“Customer Materials” means the designs, CAD files, drawings, specifications, instructions, images, and other materials you submit to Fabworks. You retain your ownership rights in Customer Materials. You grant Fabworks a limited, nonexclusive right to use, reproduce, modify, and share Customer Materials only as reasonably necessary to quote, review, manufacture, inspect, support, and deliver your order, improve the requested manufacturing result, comply with law, and enforce these Terms.
We will not sell or license Customer Materials as standalone content. We may disclose Customer Materials to employees, contractors, suppliers, and service providers who need them to perform the Service and who are subject to appropriate confidentiality obligations. We may also disclose Customer Materials when required by law or valid legal process, or when reasonably necessary to protect the rights, property, or safety of Fabworks, our customers, or others.
You are responsible for maintaining your own copies and backups of Customer Materials. Our retention and deletion of personal information is governed by our Privacy Policy and applicable law.
Your Responsibilities
You represent and warrant that:
- you have the authority to submit the Customer Materials and place the order;
- the Customer Materials and order information are accurate, complete, free of malicious code, and suitable for the products you request;
- you own the Customer Materials or have all permissions necessary for Fabworks to use them as described in these Terms;
- manufacturing the products from your Customer Materials will not violate another person’s intellectual-property, privacy, publicity, contractual, or other rights; and
- your order and use of the products will comply with applicable laws and regulations.
You are responsible for the design, dimensions, tolerances, material selection, finish, quantity, assembly, installation, maintenance, and use of the products. You must resolve conflicts between submitted files, drawings, notes, and order selections before production. Fabworks may rely on the accepted order configuration and the manufacturing information expressly incorporated into it.
Do not submit technical data controlled under the International Traffic in Arms Regulations, Export Administration Regulations, or other trade-control laws, or order products subject to those controls, without our prior written approval and use of any process we require. You are responsible for accurately identifying controlled data, restricted end uses, restricted end users, and required licenses or authorizations.
Manufacturing Guidance and Product Use
Automated checks, design-for-manufacturability feedback, estimates, examples, guidelines, and suggestions provided by Fabworks are informational manufacturing guidance. They are not engineering services, design validation, certification, or professional advice. They may not identify every design, manufacturing, assembly, compliance, or safety issue.
Unless Fabworks expressly agrees otherwise in a signed writing, our products are not designed, tested, or certified by Fabworks for life-safety, aerospace, defense, medical, nuclear, automotive-safety, or other mission-critical applications in which failure could cause death, injury, environmental harm, or significant property damage. You are solely responsible for determining whether a product is safe, suitable, tested, certified, and legally compliant for its intended application.
Material descriptions and properties are generally based on information from mills, distributors, and other suppliers. Unless material certification, testing, traceability, or a particular standard is expressly included in the accepted order, we do not independently verify chemical composition, mechanical properties, fatigue life, or suitability for your application.
Third-Party Purchasing and Automated Access
Unless Fabworks gives prior written permission, you may not use the Service to operate a brokerage, marketplace, resale, procurement, quoting, or fulfillment service for another customer or end user, whether or not that party is identified. You may not conceal or misrepresent the purchaser, customer, billing party, recipient, end user, or intended use of an order. This does not prevent an employee or authorized representative from purchasing for the organization identified on the account, or a customer from incorporating Fabworks products into its own products.
Automated tools may be used only for your own internal business purposes through interfaces and methods authorized by Fabworks. You are responsible for their actions. You may not scrape the Service, harvest or commercially exploit quote data, reverse engineer our pricing or software, evade rate limits or access controls, or use automation to do anything these Terms prohibit.
Acceptable Use
You may not use the Service to:
- violate a law or another person’s rights;
- submit false, misleading, fraudulent, infringing, or unlawfully obtained information or materials;
- introduce malware or other harmful code;
- access another person’s account or share credentials with an unauthorized person;
- interfere with, overload, disrupt, test without permission, or circumvent the security or operation of the Service;
- copy, reproduce, resell, or exploit the Service or its nonpublic content except as expressly permitted; or
- build, train, benchmark, or operate a competing quoting, pricing, or manufacturing-procurement service using Fabworks’ Service or quote data.
We may investigate suspected misuse, preserve relevant records, cooperate with lawful requests, reject or cancel affected quotes or orders, and suspend or terminate access. You remain responsible for amounts owed for accepted orders and completed or nonrecoverable work.
Fabworks Intellectual Property
The Service, including its software, workflows, interfaces, text, graphics, pricing systems, manufacturing rules, and other content supplied by Fabworks, is owned by Fabworks or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to use the Service for your personal or internal business purposes.
Customer Materials remain yours as described above. If you voluntarily provide feedback or suggestions about the Service, you grant us the right to use them without restriction or compensation, but this does not give us rights in your Customer Materials.
Text Messages
If you separately consent to receive text messages, Fabworks may send messages related to orders, quotes, support requests, account activity, or job applications. Message frequency varies and message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out or HELP for help. Disclaimer of Warranties
Fabworks will manufacture accepted orders in accordance with the specifications and commitments expressly included in the order, subject to the tolerances, variations, remedies, and other provisions of these Terms.
Except for those express commitments and to the maximum extent permitted by law, the Service and products are provided “as is” and “with all faults.” Fabworks disclaims all other express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, noninfringement, uninterrupted availability, and accuracy. We do not warrant that the Service will always be available, secure, error-free, or suitable for every file, design, material, process, or application.
Some jurisdictions do not allow certain warranty disclaimers. Nothing in these Terms excludes a warranty or statutory right that cannot lawfully be excluded.
Limitation of Liability
To the maximum extent permitted by law, Fabworks and its officers, directors, employees, affiliates, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, production, use, data, business opportunities, or goodwill, arising out of or related to the Service, an order, or a product, even if advised that such damages were possible.
To the maximum extent permitted by law, Fabworks’ total aggregate liability arising out of or related to a product or order will not exceed the amount you paid Fabworks for the specific product or order giving rise to the claim. For a claim relating only to use of the Service and not to a paid order, Fabworks’ total aggregate liability will not exceed $100.
These limitations do not apply to fraud, willful misconduct, or any liability that cannot lawfully be limited. Some jurisdictions do not allow particular exclusions or limitations, so portions of this section may not apply to you.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Fabworks and its officers, directors, employees, affiliates, contractors, suppliers, and service providers from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys’ fees arising out of or related to:
- Customer Materials, specifications, or instructions you provide;
- an allegation that manufacturing or using your products infringes or violates another person’s rights;
- your design, selection, assembly, modification, sale, distribution, installation, or use of the products;
- your undisclosed purchasing, resale, brokerage, marketplace, or fulfillment activity;
- your violation of trade-control, sanctions, tax, safety, or other applicable laws; or
- your breach of these Terms.
We will provide reasonable notice of an indemnified claim and may control its defense and settlement. You may not settle a claim in a manner that admits fault by or imposes an obligation on Fabworks without our written consent.
Events Outside Our Control
Fabworks is not responsible for a failure or delay caused by events beyond our reasonable control, including natural disasters, fire, severe weather, epidemic, war, terrorism, civil unrest, government action, labor disruption, carrier delay, supply shortage, utility or telecommunications failure, cyberattack, equipment failure that could not reasonably have been prevented, or interruption of an outside processor or service provider. We will make commercially reasonable efforts to reduce the effect of the event and resume performance.
Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access to the Service for a violation of these Terms, nonpayment, fraud or security risk, unlawful conduct, or conduct that could harm Fabworks, our customers, or others.
Termination does not cancel an accepted order or eliminate obligations incurred before termination. Provisions concerning payment, Customer Materials, intellectual property, product use, disclaimers, limitations of liability, indemnification, disputes, and any other provisions that by their nature should survive will remain in effect.
Governing Law and Disputes
These Terms and any dispute arising out of or related to the Service, an order, or a product are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to any rights that cannot be waived, the state courts located in Ventura County, California, and the federal courts with jurisdiction over Ventura County will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.
Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute by contacting the other party and allowing 30 days for a response. This requirement does not prevent either party from seeking urgent injunctive relief or filing in time to preserve a legal claim.
Changes to These Terms
We may update these Terms from time to time. The updated Terms will identify their effective date and apply prospectively to use of the Service and orders submitted on or after that date. The version accepted when an order is submitted will continue to govern that order unless the parties agree otherwise or a change is required by law.
When required by law, or when a change materially affects existing account use, we will provide additional notice or request renewed acceptance. Continuing to use the Service after the effective date of properly notified updated Terms constitutes acceptance of those Terms.
General Terms
These Terms, the policies incorporated above, the accepted order, and any separate written agreement signed by Fabworks constitute the entire agreement between you and Fabworks concerning their subject matter. If they conflict, a signed written agreement controls first, followed by the accepted order, these Terms, and the incorporated policies. Customer purchase-order terms do not control unless Fabworks expressly accepts them in a signed writing.
You may not assign these Terms or transfer an order without our written consent. Fabworks may assign these Terms in connection with a merger, reorganization, sale of assets, or transfer of the Service. Our failure to enforce a provision is not a waiver. If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Headings are for convenience only.
